THE LEASE AGREEMENT

FOR

Shiloh Farm

CHAPEL AND/OR OLD BARN

Please note: Shiloh Farm will hold your date for two weeks.  If your deposit and lease agreement are not received within that period, we will need to make the date available for other clients.

THIS LEASE AGREEMENT is made and entered into as of the______ day of __________________, 20__ , by and between SHILOH FARM(Lessor), and ________________________________________________ (Lessee). 

 NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties do hereby agree as follows:

 

1.  PREMISES.  Lessor hereby leases to Lessee and Lessee hereby leases from Lessor - SHILOH FARM.   Please check the appropriate choice:

Shiloh Barn Only

Shiloh Chapel Only

Shiloh Chapel and Barn

Rose Cottage Wedding and Reception

Rose Cottage Tea Room Party

 

 

2.  TERM.  The Premises are leased for the purpose generally described as a:

“private party” and/or

“wedding”

The Scheduled Event is to be held on the following date: ____________________________________.

 

3.  ACCEPTANCE OF PREMISES.  The Lessee, by taking possession of the Premises, shall accept and shall be held to have accepted the leased Premises as suitable for the use intended by the Lessee.

 

4.  RENT. (* see price list for barn rental with over 250 guests) 

   The rent payable under this Lease shall be $_______________.  Please add 7.5% sales tax $___________.   Total amount due with tax:  $____________.  Your rental   date will only be held and confirmed upon receipt of one-half (½) of the rent listed above, and a signed copy of this Lease, so please send $_______ ___ along with this contract ASAP.  Balance of $___________  must be paid no later than one week prior to the scheduled event.  The down payment (one-half (½) of the rent) is NON-REFUNDABLE.

 

5.  DURATION OF EVENT.  All events must be concluded and premises cleaned and vacated by midnight.  An attendant is provided at no additional charge for a period beginning one hour prior to the event and up to seven hours thereafter.  For events exceeding seven hours, the Lessee shall pay fifty dollars ($50) for each additional hour until the premises are cleaned and vacated.

 

6.  PROOF OF INSURANCE.  The Lessee shall deliver to Lessor a Certificate of Insurance evidencing the insurance coverage required hereunder.  Such insurance coverage is provided by the following:

7PERMITTED USES.  The Lessee agrees at all times to fully and promptly comply with all laws, ordinances and regulations of every lawful authority having jurisdiction of the premises.  Lessee shall procure any and all required City, County, State or Federal licenses or permits prior to engaging in any activity on the leased property to be used for any lawful purpose.

 

8CATERERS, FLORAL DESIGNERS, PHOTOGRAPHERS AND EVENT PLANNERS AGREEMENTS.  You may contract with a professional of your choice in these areas.  Lessor is NOT responsible for any activities relating to preparations for the event, including but not limited to, catering and entertainment arrangements, decorations, deliveries and setup.  Prior to the event, Lessor must approve all items requiring electrical service.  Additional information is listed separately.

 

9.  SURRENDER OF PREMISES.  At the termination of this Lease, the Lessee shall surrender the Premises to the Lessor in the same condition as at the commencement of the term, natural wear and tear only excepted.

 

10LESSEE’S PERSONAL PROPERTY.  Lessee agrees that all personal property brought into the Premises shall be at the risk of the Lessee only and that the Lessor shall not be liable for theft thereof or for any damages caused by any acts of any person.

 

11.  GENERAL LIABILITY INSURANCE.  The Lessee, at its expense, shall provide and maintain in force at all times during the term of this Lease public liability, and property damage insurance providing for limitations of not less than the face value of the policy, but in any event not less than $300,000.00.  A copy thereof issues by the insurance company or companies of the policies of insurance so required to be kept and maintained in force by the Lessee, shall be delivered to the Lessor upon request.

 

12.  INDEMNIFICATION OF LESSOR.  Lessee shall defend, indemnify and hold Lessor, SHILOH FARM, harmless from and against any claim, loss, expense, injury, or damage to any person or property in or upon the Premises or any area allocated to or used exclusively by Lessee or its agents, employees, licensees or invitees, arising out of Lessee’s use or occupancy of the Premises, or any act or neglect of Lessee or Lessee’s agents, employees, licensees, or invitees, or any change, alteration or improvement made by Lessee in the Premises.  Lessee further shall indemnify and hold the parties specified above harmless from and against all costs, reasonable, attorney’s fees, expenses and liabilities incurred as a result of any claim, action or proceeding brought thereon.

 

13.  LEGAL EXPENSES.  If the Lessor or the Lessee defaults in the performance of any of the covenants of this Lease, and by reason thereof, it becomes necessary for the Lessor or the Lessee to employ the services of an attorney to enforce performance of said covenants, or remedy any breach of this Lease, the prevailing party shall be paid by the other party all expenses, costs and reasonable attorney’s fees incurred or paid by it in connection therewith.

 

14.  ENTIRE AGREEMENT.  This Lease and its attachments represent the entire agreement of the parties and supercedes all prior oral or written representations, inducements, promises, agreements or other communications.  No modification of this Lease shall be effective unless made in writing and signed by the parties.

 

15. SUCCESSORS.  This Lease shall be binding upon and inure to the benefit of Lessor and Lessee and their respective heirs, successors, legal representatives, and assigns.
